SKY CRM PTE LTD PROJECT TERMS AND CONDITIONS

1. CLIENT’S RESPONSIBILITY
1.1 Before proceeding on project, the client agrees to provide all relevant information and content for the project i.e. workflows, images, copy-write.
1.2 Should there be additional information/instructions provided after project commencement, it will be considered as a new scope of work, it will be reviewed as a new deliverable, and given a separate quotation for.
Important note: Accepting new scope of work will delay the original projected timeline of the project.
2. CHANGE REQUEST AND/OR FEEDBACKS
2.1 A request for major change in the design/system after the final agreed is chargeable.
2.2 The decision of what constitutes a major change rest solely with Sky CRM Pte Ltd.
3. MAINTENANCE AND SUPPORT: WEBSITE, CONTENT MANAGEMENT SYSTEM, AND CUSTOMER RELATIONSHIP MANAGEMENT
3.1 For any development done by SKY CRM PTE LTD’s that requires maintenance, or any form of support or technical enquiries are chargeable items.
3.2 In cases where website maintenance package is not purchased, changes and maintenance of the website past the stipulated delivery date are chargeable.
3.3 SKY CRM PTE LTD’s hourly charges are $180 per hour. On-site support is $380 per hour.
4. DELAYS IN RESPONSE
4.1 Delays in Client’s response (more than 5 working days) to Sky CRM’s requests for feedback and acceptance of work are chargeable.
4.2. If there is no response for client’s feedback for more than 14 calendar days, or invoices are overdue for more than 14 calendar days, the project is deem completed, and client will be still liable to the remaining invoices due. Should the client want to proceed with the project after the stipulated date, a penalty of 50% of the quotation will be levied for the delay in the project pipeline(s) and timeline(s) caused by the client.
5. TERM AND TERMINATION
All Agreements will be valid for one (1) year from the Effective Date and shall continue in full force and effect, unless earlier terminated in accordance with the provisions contained in this Agreement. Thereafter, this Agreement will automatically renew on a year-to-year basis. Either party may terminate this Agreement at any time after one year from the Effective Date upon 30 days prior written notice.
5.2 Events of Termination:
All Agreements shall be subject to termination upon the occurrence of the following events: If either party hereto defaults on any of its material obligations, representations or warranties under the Agreement, the non-defaulting party shall notify the other party in writing, specifying in sufficient details the nature and extent of such breach and, unless within fifteen (15) calendar days after written notice of such default the defaulting party remedies the default, this Agreement will terminate, if (a) either party files a petition for bankruptcy or is adjudicated a bankrupt; (b) a petition in bankruptcy is filed against either party; (c) either party becomes insolvent or makes an assignment for the benefit of its creditors or an arrangement for its creditors pursuant to any bankruptcy law; (d) either party discontinues its business, then the other party shall have the right to terminate this Agreement immediately upon written notice.
6. PAYMENTS AND CANCELLATION OF PROJECT
6.1 A cancellation fee of 50% of quotation will be charged for any cancellation after acceptance of quotation, on top of completed deliverables.
6.2 All payments made are non-refundable after project has started. Cancellation of project is due for cancellation fee, and other penalties involved (if any).
7. PROJECT ARCHIVAL
The Company does not guarentee archival of past projects and provided materials. The Company may use the CRM Solutions created as portfolio for showcasing. All projects will have Sky CRM footer credits unless otherwise agreed. Removal of credits will be chargeable at 30% to 50% of total project fees.
8. SKY CRM PLATFORM SOLUTION
SkyCRM Solutions are Web based, and will be tested and optimized for recent versions of IE, Chrome, Safari and Firefox 3 on Windows and iOS platform due to mainstream usage. Note that some pages may be displayed differently to some extent on various browsers/platforms. There is technically no single development that can cater across all platform(s) with 100% compatibility and consistency in visual display and functionality.
9. END USER LICENSE AGREEMENT
This copy of Customer Relationship Management (“the Software Product”) and accompanying documentation is licensed and not sold. This Software Product is protected by copyright laws and treaties, as well as laws and treaties related to other forms of intellectual property. Sky CRM Pte Ltd or its subsidiaries, affiliates, and suppliers (collectively “Sky CRM”) own intellectual property rights in the Software Product. The Licensee’s (“you” or “your”) license to download, use, copy, or change the Software Product is subject to these rights and to all the terms and conditions of this End User License Agreement (“Agreement”).
10. RESTRICTIONS ON ALTERATION
You may not modify the Software Product or create any derivative work of the Software product or its accompanying documentation. Derivative works include but are not limited to translations. You may not alter any files or libraries in any portion of the software Product. You may not reproduce the database portion or create any tables or reports relating to the database portion. In the event where files are modified, if hosted on client’s server, Sky CRM will no longer be able to support or rectify bugs related to the software.
YOU ACCEPT AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT BY SELECTING THE “ACCEPT” OPTION AND DOWNLOADING THE SOFTWARE PRODUCT OR BY INSTALLING, USING, OR COPYING THE SOFTWARE PRODUCT. YOU MUST AGREE TO ALL OF THE TERMS OF THIS AGREEMENT BEFORE YOU WILL BE ALLOWED TO DOWNLOAD THE SOFTWARE PRODUCT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT. YOU MUST SELECT “DECLINE” AND YOU MUST NOT INSTALL, USE OR COPY THE SOFTWARE PRODUCT.
12. LICENSE GRANT
This Agreement entitles you to install and use copy of the Software Product. In addition, you may make one archival copy of the Software Product. The archival copy must be on a storage medium other than a hard drive, and may only be used for the reinstallation of the Software Product. This Agreement does not permit installation or use of multiple copies of the Software Product, or the installation of the Software product on more than one computer at any given time, on a system that allows shared used of applications, on a multi-user network, or on any configuration or system of computers that allows multiple users. Multiple copy use or installation is only allowed if you obtain an appropriate licensing agreement for each user and each copy of the Software Product.
